Terms and Conditions for ProsperUs 2024 July Welcome Campaign (the “Campaign”)

  1. This Campaign is organised by CGS International Securities Singapore Pte. Ltd. (“CGS SG”) and is valid from 01 July 2024 to 31 July 2024 (both dates inclusive) (the “Campaign Period”).
  2. Participants who successfully open a new global investment account with CGS SG (a “ProsperUs Account”) during the Campaign Period and input the referral code “Cashback” and/or such other valid referral code that CGS SG may designate from time to time, into the referral code field during the account opening process shall be eligible to participate in the Campaign and, subject to fulfilling the applicable requirements below, receive rewards in the form of cash credits. Existing or past clients of CGS SG who closed their ProsperUs Account(s) at any time during the 12-month period prior to 01 July 2024 shall not be eligible to participate in this Campaign.

Trading Reward

  1. Participants will receive cash credits (the “Trading Reward”) in respect of the buy trade(s) executed by the participant using their ProsperUs Account during the Campaign Period (the “Eligible Buy Trade”), up to a maximum of two (2) Eligible Buy Trades for the entire duration of the Campaign Period, provided that the trading conditions applicable to each Eligible Buy Trade set out below are satisfied
  2. Participants will receive a Trading Reward in the form of cash credits of SGD50 in respect of each Eligible Buy Trade executed by the participant on the Singapore Exchange and/or US Stock Exchange during the Campaign Period, provided that the Eligible Buy Trade satisfies the trading conditions below:
    1. the participant shall execute the Eligible Buy Trade on the Singapore Exchange and/or US Stock Exchange;
    2. if the Eligible Buy Trade is executed on the Singapore Exchange, the minimum trade value of the Eligible Buy Trade shall be SGD1,000;
    3. the Eligible Buy Trade shall not include any foreign exchange products, crypto foreign exchange products and options contracts.
  3. The Trading Reward shall be credited into the participant’s ProsperUs Account within 21 calendar days from the execution date of each Eligible Buy Trade.

Additional Rewards

A. Free Market Data Subscription

  1. Participants who subscribe to SGX Level 2 Market Data via their ProsperUs Account during the Campaign Period shall be entitled to receive complimentary access to SGX Level 2 Market Data for the remaining duration of the Campaign Period. The said subscription will automatically expire after the Campaign Period, unless the client applies for SGX Level 2 Market Data on a paid subscription basis.
  2. As an additional benefit, participants will be rewarded with free level 1 market data subscription for US stocks (more particularly described below) during the Campaign Period.
  3. The free level 1 market data subscription for US stocks that would be made available to participants consists of the following exchanges:
    • NASDAQ;
    • New York Stock Exchange (NYSE);
    • American Stock Exchange (AMEX); and
    • NYSE Arca.

B. Promotional Commission Rates – Singapore Exchange

  1. Participants who successfully open a new ProsperUs Account with CGS SG within the Campaign Period shall also be eligible to receive a promotional commission rate for their trades on the Singapore Exchange, which is also being extended to all existing clients of CGS SG with a ProsperUs Account.
  2. The table below illustrates the promotional commission rate for trades on the Singapore Exchange:

  3. All other commission rates which can be found at https://www.prosperus.asia/pricing/ (as amended, modified and/or supplemented from time to time) will continue to apply during the Campaign Period. All other fees including, but not limited to, clearing fees, SGX trading and settlement fees and goods and services tax, shall continue to be borne by the participants.

Other Terms and Conditions

  1. The rewards from this Campaign can be earned in conjunction with the rewards of any other ongoing campaigns, unless otherwise stated in the terms and conditions of such campaign(s).
  2. CGS SG’s employees, representatives and agents are not eligible to participate in this Campaign.
  3. Although CGS SG shall endeavour to distribute the rewards promptly, CGS SG shall not be responsible for any delays whatsoever nor shall there be any compensation payable in respect of any such delays. CGS SG shall be entitled in its sole and absolute discretion to forfeit the rewards or disqualify any participant from participating in this Campaign.
  4. CGS SG reserves the right to withdraw or substitute the rewards with other items such as vouchers (but shall not be under any obligation to do so) without prior notice and without assigning any reason.
  5. By participating in this Campaign, each participant is deemed to have read, understood and agreed to be bound by the foregoing terms and conditions of the Campaign, the CGS SG General Terms and Conditions (as amended, modified and/or supplemented from time to time), and the terms and conditions of any other agreement(s) (as amended, modified and/or supplemented from time to time) that the participant has entered into with CGS SG.
  6. CGS SG reserves the right in its sole and absolute discretion to terminate, vary, delete or add to any of the Campaign’s terms and conditions herein, at any time without prior notice and without having to disclose any reason therefore and without any payment or compensation whatsoever to the participant.
  7. CGS SG and its affiliates, and their respective employees, directors, officers, representatives and agents shall not be liable to any person for any loss, damage, injury, costs or expenses incurred, suffered, borne or arising from this Campaign.
  8. The decision of CGS SG on all matters relating to or arising from this Campaign (including the eligibility of any trade to be considered within the scope of this Campaign, and the eligibility of any person to participate in this Campaign) is absolute, final and binding and no correspondence and/or requests to retract and/or modify any such decisions shall be considered. In the event of any inconsistency between these terms and conditions and any marketing material relating to this Campaign, these terms and conditions shall prevail.
  9. CGS SG reserves the right to modify, terminate or suspend this Campaign for any reason and without any prior notice whatsoever.
  10. These terms and conditions are governed by and interpreted according to the laws of Singapore and the participants in this Campaign agree to submit to the exclusive jurisdiction of the courts of Singapore.
  11. This Campaign shall not be construed as an offer, recommendation or solicitation to buy or sell any securities. The participants are advised to make their own independent evaluation and to consult their professional advisers before undertaking any transaction.
  12. Any person who is not a participant shall not have any rights under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce or benefit from these terms and conditions.
