Terms and Conditions for ProsperUs 2024 National Day Referral Campaign (the “Campaign”)

  1. This Campaign is organised by CGS International Securities Singapore Pte. Ltd. (“CGS SG”) and is valid from 01 August 2024 to 31 August 2024 (both dates inclusive) (the “Campaign Period”).
  2. Subject to paragraph 3 below, this Campaign is open to all clients of CGS SG with a ProsperUs global investment account (“ProsperUs Account”) with CGS SG during the Campaign Period who successfully refer one (1) or more clients to open a new ProsperUs Account with CGS SG during the Campaign Period (each a “Referrer”, and each client referred by a Referrer to open a new ProsperUs Account with CGS SG during the Campaign Period by entering a Referrer’s Referral Code (as defined herein) in the referral code field during the account opening process, a “Referee”) and all Referees. Every client of CGS SG with an active ProsperUs Account is assigned a referral code (the “Referral Code”) which is a unique 7-character code which can be retrieved by the client through the client portal on the ProsperUs website.
  3. Clients of CGS SG who closed their ProsperUs Account(s) at any time during the 12-month period prior to 01 August 2024 shall not be eligible to participate in this Campaign, and none of the rewards under this Campaign will be awarded in respect of these clients.
  4. The table below sets out a summary of the cash credits which Referrers and Referees will receive, provided that the relevant requirements in these terms and conditions are satisfied:

    For the avoidance of doubt, the Referee will receive up to one (1) Funding Reward per Referee for the entire duration of the Campaign Period.

    (2) Completes one (1) Eligible Transaction (as defined below) which is either a buy trade executed on the Singapore Exchange or US Stock Exchange, or a transaction in contracts for difference (“CFD”) during the Campaign Period SGD59 cash credits (Trading Reward (as defined below)) SGD30 cash credits
    (Referral Reward (as defined below))For the avoidance of doubt, the Referrer will receive up to one (1) Referral Reward per Referee for the entire duration of the Campaign Period.
    (3) Completes up to two (2) Eligible Transactions (as defined below) which is either a buy trade executed on the Singapore Exchange or US Stock Exchange, or a transaction in CFD during the Campaign Period Up to SGD118 cash credits (Trading Reward) SGD30 cash credits
    (Referral Reward)For the avoidance of doubt, the Referrer will receive up to one (1) Referral Reward per Referee for the entire duration of the Campaign Period.
  5. For the avoidance of doubt, Referees who themselves become Referrers shall be entitled to receive the Referral Reward under this Campaign, provided that the relevant requirements in these terms and conditions are satisfied.

Referral Reward (for Referrers)

  1. A Referrer will receive cash credits of SGD30 (the “Referral Reward”) in respect of each Eligible Transaction (as defined below) executed by his or her Referee(s), up to a maximum of one (1) Eligible Transaction per Referee for the entire duration of the Campaign Period, provided that his or her Referee(s) satisfies the trading conditions set out in paragraph 10 below. There is no limit on the number of Referee(s) that a Referrer can refer pursuant to this Campaign.
  2. The Referral Reward shall be credited into the Referrer’s ProsperUs Account within 21 calendar days from the execution date of each Eligible Transaction.

Funding Reward (for Referees)

  1. Referees who (i) open a ProsperUs Account with CGS SG during the Campaign Period and input a valid unique Referral Code into the referral code field during the account opening process, and (ii) make an initial deposit of any amount in any currency into such ProsperUs Account during the Campaign Period, will receive one (1) GiftPay voucher with the value of SGD10 (the “Funding Reward”). Referees can earn a maximum of one (1) Funding Reward for the entire duration of the Campaign.
  2. Participants who fulfill all the conditions for the Funding Reward will receive the GiftPay voucher by way of email sent to the email address provided by the participant to CGS SG within 21 calendar days from the date of that such deposit was made to the participant’s ProsperUs Account.

Trading Reward (for Referees)

  1. Referees will receive cash credits (the “Trading Reward”) in respect of the transaction(s) executed by the Referees using their ProsperUs Account during the Campaign Period (the “Eligible Transaction”), up to a maximum of two (2) Eligible Transactions for the entire duration of the Campaign Period, provided that the trading conditions applicable to each Eligible Transactions set out in the paragraph below are satisfied.
  2. Referees will receive a Trading Reward in the form of cash credits of SGD59 in respect of each Eligible Transaction executed by the participant, provided that the Eligible Transaction satisfies the trading conditions below:
    1. the Eligible Transaction must either be a buy trade executed on the Singapore Exchange or US Stock Exchange, or a transaction in CFD;
    2. if the Eligible Transaction is a buy trade executed on the Singapore Exchange, the minimum trade value of the Eligible Transaction shall be SGD1,000;
    3. the Eligible Transaction shall not include any foreign exchange products, crypto foreign exchange products and options contracts.
  3. The Trading Reward shall be credited into the Referee’s ProsperUs Account within 21 calendar days from the execution date of each Eligible Transaction.

Additional Rewards

A. Free Market Data Subscription

  1. Participants who subscribe to SGX Level 2 Market Data via their ProsperUs Account during the Campaign Period shall be entitled to receive complimentary access to SGX Level 2 Market Data for the remaining duration of the Campaign Period. The said subscription will automatically expire after the Campaign Period, unless the client applies for SGX Level 2 Market Data on a paid subscription basis.
  2. As an additional benefit, participants will be rewarded with free level 1 market data subscription for US stocks (more particularly described below) during the Campaign Period.
  3. The free level 1 market data subscription for US stocks that would be made available to participants consists of the following exchanges:
    o NASDAQ;
    o New York Stock Exchange (NYSE);
    o American Stock Exchange (AMEX); and
    o NYSE Arca.

B. Promotional Commission Rates – Singapore Exchange

  1. Participants who successfully open a new ProsperUs Account with CGS SG within the Campaign Period shall also be eligible to receive a promotional commission rate for their trades on the Singapore Exchange, which is also being extended to all existing clients of CGS SG with a ProsperUs Account.
  2. The table below illustrates the promotional commission rate for trades on the Singapore Exchange:

  3. All other commission rates which can be found at https://www.prosperus.asia/pricing/ (as amended, modified and/or supplemented from time to time) will continue to apply during the Campaign Period. All other fees including, but not limited to, clearing fees, SGX trading and settlement fees and goods and services tax, shall continue to be borne by the participants.

Other Terms and Conditions

  1. The rewards from this Campaign can be earned in conjunction with the rewards from any other ongoing campaigns, unless otherwise stated in the terms and conditions of such campaign(s).
  2. CGS SG’s employees, representatives and agents are not eligible to participate in this Campaign.
  3. Save for their intended purpose, the rewards from this Campaign are not exchangeable for goods or benefits in kind. Although CGS SG shall endeavour to distribute the rewards promptly, CGS SG shall not be responsible for any delays whatsoever nor shall there be any compensation payable in respect of any such delays. CGS SG shall be entitled in its sole and absolute discretion to forfeit the rewards or disqualify any participant from participating in this Campaign.
  4. CGS SG reserves the right to withdraw or substitute the rewards with other items (but shall not be under any obligation to do so) without prior notice and without assigning any reason.
  5. CGS SG shall not be responsible or liable for any incomplete, lost, late, damaged, illegible or misdirected mail or email or other communications, technical hardware or software failures of any kind, lost or unavailable network connections, or any failed, incomplete, garbled or delayed electronic transmission.
  6. By participating in this Campaign, each participant hereby consents to CGS SG collecting, using and disclosing such participant’s personal data for purposes reasonably required by CGS SG to administer the Campaign and for such other purposes as described in CGS SG’s General Terms and Conditions which the participant confirms to have read and understood.
  7. By participating in this Campaign, each participant is deemed to have read, understood and agreed to be bound by the foregoing terms and conditions of the Campaign, the CGS SG General Terms and Conditions (as amended, modified and/or supplemented from time to time), and the terms and conditions of any other agreement(s) (as amended, modified and/or supplemented from time to time) that the participant has entered into with CGS SG.
  8. CGS SG reserves the right in its sole and absolute discretion to terminate, vary, delete or add to any of the Campaign’s terms and conditions herein, at any time without prior notice and without having to disclose any reason therefore and without any payment or compensation whatsoever to the participant.
  9. CGS SG and its affiliates, and their respective employees, directors, officers, representatives and agents shall not be liable to any person for any loss, damage, injury, costs or expenses incurred, suffered, borne or arising from this Campaign.
  10. The decision of CGS SG on all matters relating to or arising from this Campaign (including the eligibility of any trade to be considered within the scope of this Campaign, and the eligibility of any person to participate in this Campaign) is absolute, final and binding and no correspondence and/or requests to retract and/or modify any such decisions shall be considered. In the event of any inconsistency between these terms and conditions and any marketing material relating to this Campaign, these terms and conditions shall prevail.
  11. CGS SG reserves the right to modify, terminate or suspend this Campaign for any reason and without any prior notice whatsoever.
  12. These terms and conditions are governed by and interpreted according to the laws of Singapore and the participants in this Campaign agree to submit to the exclusive jurisdiction of the courts of Singapore.
  13. This Campaign shall not be construed as an offer, recommendation or solicitation to buy or sell any securities. The participants are advised to make their own independent evaluation and to consult their professional advisers before undertaking any transaction.
  14. Any person who is not a participant shall not have any rights under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce or benefit from these terms and conditions.
